  • • Negotiation, Due Diligence and Drafting of Documents for acquisition and sales of Corporations and/or assets in the United States, Mexico, Guatemala, Honduras, Venezuela, Colombia, Brazil, Ecuador, United Kingdom, Italy, Australia and Malaysia. Acquisitions ranging from US$1 million to US$1.5 billion.


    • Counsel to a Mexican Corporation in all steps to invest in China and Australia, up to opening large manufacturing facilities in Shanghai and Melbourne.


    • Represented the Seller on transaction on the second largest platform of Out-of Home Billboard Assets in Mexico.


    • Counsel to the Issuer for Four IPO’s registered in the New York Stock Exchange and in the Mexican Stock Exchange.


    • Represented Issuers on a US – MX Simultaneous Private Placement of US$190 million


    • Counsel to the Issuer on a US$400 million perpetual bond.


    • Represented Four Issuers on preparing annual form 20-F and Annual Report in Mexico filed with the Banking and Securities Commission.


    • Represented different companies in negations of loan agreements, including syndicated facilities. Loans ranging from US$4 million to US$400 million.


    • Counsel to the Consumers of a 25 year Energy and Steam Supply Agreement in Mexico with a European Energy Producer.


    • Negotiated multiannual US Distribution Agreement for consumer products representing sales of over US$500 million.


    • Technical Assistance and License for the Manufacture and Distribution of US Consumer Products in Mexico with revenues exceeding US$40 million.


    • Represented controlling shareholders on the drafting and negotiation of a voting trust of a company with revenues in excess of US$500 million dollars.


    • Drafting and negotiation of voting trust of a Company with 100 plus shareholders from different nationalities.


    • Drafting and Negotiation of Estate Trusts of families with domestic and foreign assets with values exceeding US$200 million dollars.


    • Lead Counsel to a defendant in arbitration proceedings that lead to a prevailing arbitration award in proceedings before the International Chamber of Commerce in New York.


    • Counsel to the Plaintiff in obtaining a preliminary injunction (confirmed in the NY Federal Court of Appeals) against actions of majority shareholder in the US


    • Preventive corporate actions towards a potential litigation to be filed by a minority shareholder of a Company with revenues of over US$3.5 billion.


    • Lead Counsel to the prevailing party on three Actions filed in the Mexican Federal Trade Commission.


    • Coordinated and participated on Litigation against builder of a US$200 million high profile construction in northern Mexico. A settlement was reached with defendants five weeks after taking the lead of the case.


    • Lead Counsel for the Construction of a Car Plant facility in Aguascalientes, Mexico


    • Lead Counsel for the development of a Hotel Resort in Riviera Maya (Playa del Carmen, Quintana Roo

    • Represented a client on a national real estate audit towards bringing 100 plus properties in good standing.


    • Drafting and negotiation of the trust devoted to the construction and eventual season ticket sales sale of the most modern stadium in Latin America


    • Leading Counsel for the startup operations of tier 1 &2 companies (8) of a Korean Automotive Group in Nuevo Leon and Coahuila


    • Lead Counsel to Foreign Investors in various industries in Nuevo Leon, Tamaulipas, Coahuila, Aguascalientes, and Querétaro


    • Counseled various clients on Environmental matters in Nuevo Leon, Tamaulipas, Jalisco, Coahuila, Guanajuato, Aguascalientes, Guanajuato and Querétaro


    • Leaded Negotiations with the Federal Ministry of Finance preventing increase on specific taxes as a result of the Tax Overhaul promoted by the Federal Government.
